Welcome to Social Proof Orders (“Company,” “we,” “our,” or “us”). By accessing and using our website and services (“Service”), you (“User,” “Customer”) agree to comply with the following Terms and Conditions. If you do not agree, please do not use our services.


1. Acceptance of Terms

By using our Service, you confirm that you have read, understood, and agreed to these Terms. We reserve the right to update or modify these Terms at any time without prior notice. Your continued use of the Service constitutes acceptance of any changes.


2. Service Description

Social Proof Orders provides order activity services designed to help e-commerce store owners enhance social proof and credibility. Our service does not generate real customer sales, nor do we guarantee increased revenue, engagement, or business performance.


3. Attestation & Platform-Compliance (Shopify/Woo)

Platform Compliance & Attestation. You represent and warrant that your use of the Service complies with all applicable laws and the applicable platform terms (including Shopify and WooCommerce). You authorize Social Proof Orders to connect to your store solely for the limited purpose of generating simulated order activity as configured by you. You will not use the Service to mislead, defraud, or harm consumers, and you will truthfully fulfill any legitimate (non-simulated) orders received by your store.


4. “Simulated Activity” Disclosure

Nature of the Service. The Service generates simulated order activity and related metadata for testing, merchandising, and perception analysis. No consumer payment is processed by Social Proof Orders. Simulated orders are not sales, do not create a payment obligation, and are not a substitute for genuine demand.


5. Credits / Expiration / Rollover (revenue you asked for)

Credits, Expiration, and Rollover. Packages confer a credit denominated in “revenue order activity.” Credits must be used within 60 days of purchase unless otherwise stated. Unused credits expire at the end of the use-by window. Optional add-ons may allow (i) a 30-day extension for a fee, or (ii) one-cycle rollover if purchased before expiration. No credits are not refundable.


6. Recurring Cycles, Caps & Top-Ups

Recurring Plans. For recurring plans, credits refresh each billing cycle and usage resets at renewal. When a cycle’s credit is exhausted, you may purchase top-up credits. Plan changes take effect next cycle unless we state otherwise in writing.


7. Customer Type & Cohort Reuse (RCR)

Returning-Customer Cohorts. When configured to “Returning Customers,” the Service may reuse the same synthetic customer profiles across cycles to influence your store’s returning-customer metrics. You may switch between “One-Time Customers” and “Returning Customers” in your dashboard unless your plan specifies a locked type.


8. Data Processing & PII Minimization

Data Minimization & Retention. We store only the minimum synthetic PII necessary to deliver the Service (e.g., name, email, shipping address). Unless legally required to retain longer, synthetic PII is retained for ≤ 90 days after the earlier of (a) account termination or (b) last activity, and then deleted or anonymized.


9. Data Subject Requests (DSR)

Privacy Requests. You may request deletion or export of synthetic PII associated with your account. We will honor requests within a reasonable time, subject to legal holds or our fraud-prevention obligations.


10. Security & Secrets (tokens)

Security & Access. Store access tokens are stored using industry-standard encryption and rotated on request. We never display full tokens in the UI and you agree not to share credentials with unauthorized users. You are responsible for safeguarding your admin access and for all actions taken under your account.


11. Fair Use / Rate Limits / Circuit Breakers

Fair Use & Protection. To protect platforms and merchants, we may throttle, defer, or cancel simulated activity if we detect anomalous behavior, API failures, or policy risk. We may also suspend or terminate access if your usage (i) exceeds reasonable limits, (ii) threatens platform integrity, or (iii) violates these Terms.


12. Service Levels & Credits (non-refund relief)

Availability & Service Credits. The Service is provided “as-is” and without warranty; however, if a documented platform outage prevents delivery for 96+ consecutive hours, we may, at our discretion, issue service credits to your account. Service credits are not cash and expire if unused.


13. Indemnity

Indemnification. You agree to defend and indemnify Social Proof Orders against third-party claims arising from your store content, your products, or your misuse of the Service.


14. Beta/Experimental Features

Beta Features. Certain features may be labeled “Beta,” “Labs,” or “Experimental” and may be modified or discontinued at any time. Beta features are provided “as-is,” may be less reliable, and are excluded from any service-credit calculation.


15. Eligibility, Compliance & Acceptable Use Policy

15.1. Eligibility Requirements

  • You must be at least 18 years old to use our Service.
  • You agree that your use of our Service complies with all applicable laws, regulations, and platform policies (Shopify, WooCommerce, etc.).
  • You must provide accurate and current account and payment information.

15.2. Prohibited Use

You may not use our Service for:

  • Fraudulent or deceptive practices (e.g., fake stores, scams, chargeback abuse).
  • Illegal activities (e.g., selling counterfeit goods, illegal substances, weapons).
  • Misleading business practices (e.g., falsely advertising unavailable products).
  • Adult content, gambling, financial scams, or any prohibited industries.

Violation of these terms may result in termination of your account without a refund and potential legal action.

15.3. No Misrepresentation Agreement

  • You agree that if real customers make purchases due to the increased credibility from order activity, you will fulfill all legitimate orders as promised.
  • You acknowledge that Social Proof Orders is not responsible for your store’s fulfillment, product delivery, or customer disputes.
  • You agree not to use this service to mislead, scam, or deceive customers.

16. Payment, Pricing & Refund Policy

16.1. Payment Terms

  • All payments must be made upfront through our accepted payment methods.
  • Prices are subject to change without notice.
  • Chargebacks or payment disputes may result in account suspension.

16.2. Refund Policy

Due to the nature of our Service, all sales are final, and we do not offer refunds unless we fail to deliver the agreed-upon service. If you experience an issue, please contact support.


17. Subscription, Cancellation Policy, Termination & Ban Agreement

17.1. Subscription Plans

If you purchase a recurring service:

  • You authorize us to charge the subscription fee on a recurring basis.
  • You may modify or cancel your subscription at any time through your account settings.
  • Changes take effect in the next billing cycle.

17.2. Cancellation & Pausing Subscriptions

  • You may cancel at any time; however, no refunds will be provided for the remaining billing cycle.
  • You may pause your subscription, but resumed service is subject to availability.

17.3. Termination & Account Ban Policy

We reserve the right to suspend or terminate your account without notice if:

  • You violate these Terms or engage in fraudulent activity.
  • Your payment is disputed, reversed, or fails.
  • We detect unauthorized, harmful, or illegal use of our Service.
  • Your store is found engaging in fraud, scams, or misleading practices.

🚨 No refunds will be given if your account is terminated due to policy violations.


18. Privacy, Confidentiality & Non-Disparagement Clause

We value your privacy. By using our Service, you acknowledge and agree to our Privacy Policy.

  • We do not disclose your usage of our service to any third party.
  • We do not sell or share your personal data for marketing purposes.
  • We implement reasonable security measures to protect your information.

However, we cannot guarantee absolute security against unauthorized access or breaches.

18.1. Non-Disparagement Agreement

  • You agree not to make false, misleading, or damaging statements about Social Proof Orders in any public or private forum.
  • If you experience an issue, you agree to contact us first for resolution before making public claims.
  • Any violation of this clause may result in legal action.

19. Disclaimers & Limitation of Liability

19.1. Service Disclaimer

  • Our Service is provided “as-is” and “as available” without warranties of any kind.
  • We do not guarantee increased sales, customer engagement, or business success.
  • We are not responsible for any changes in Shopify, WooCommerce, or other platforms' policies that may affect your store's performance.

19.2. Limitation of Liability

To the fullest extent permitted by law, Social Proof Orders and all affiliated businesses shall not be liable for:

  • Any indirect, incidental, or consequential damages arising from the use of our Service.
  • Loss of profits, reputation, business opportunities, or legal penalties due to misuse of our Service.
  • Technical issues, delays, or disruptions beyond our control.

In any case, our liability shall be limited to the amount paid for the Service.


20. Account Termination & Suspension

We reserve the right to suspend or terminate your account without notice if:

  • You violate these Terms or engage in fraudulent activity.
  • Your payment is disputed, reversed, or fails.
  • We detect unauthorized, harmful, or illegal use of our Service.

No refunds will be issued for terminations due to policy violations.


21. Governing Law & Dispute Resolution

  • These Terms shall be governed by and construed in accordance with the laws of Sheridan, WY and/or Clark County, NV.
  • Any disputes shall be resolved through binding arbitration in Sheridan, WY and/or Clark County, NV, rather than in court.
  • You agree to waive any right to participate in a class-action lawsuit against us.

22. Intellectual Property

  • All content on our website, including logos, text, graphics, and software, is owned by Social Proof Orders and/or affiliated businesses, and protected under copyright laws.
  • You may not copy, reproduce, or distribute our materials without explicit permission.

23. Amendments & Updates

We may update these Terms at any time. Continued use of our Service after updates constitutes acceptance of the new Terms.
